RCS Studio Terms of Service

1. Agreement & Scope

  1. These Terms govern your use of the RCS Studio services (the “Service” or “RCS Studio”) provided by Vibes Media, LLC (“Vibes,” “we,” “us,” or “our”).
  2. By accessing or using RCS Studio (including its websites, APIs, interfaces, or tools), you agree to be bound by these Terms, along with the Vibes Privacy Policy and Acceptable Use Policy, which are incorporated herein by reference.
  3. If you are using RCS Studio under a separate agreement (for example, a Master Services Agreement, Addendum, or Customer Agreement with Vibes), those terms may supersede portions of this document — where there is a conflict, the separate agreement controls.

2. Eligibility & Account Registration

  1. You must be at least 18 years old and have the authority to bind your organization to these Terms.
  2. You must register for an account, providing accurate and complete information. You are responsible for keeping your credentials secure.
  3. You may not share or transfer your account, except with Vibes' prior written consent.

3. Use of the Service

  1. You may use RCS Studio solely for lawful, authorized purposes consistent with these Terms and applicable laws, regulations, and industry (carrier) rules.
  2. You grant Vibes a nonexclusive, worldwide, royalty-free license to host, copy, use, modify, and display content you submit or upload to the Service, solely as required to provide and maintain the Service.
  3. You retain all ownership rights in your content, subject to the license above and the rights granted to Vibes under your broader agreement.

4. Acceptable Use & Prohibited Conduct

  1. You agree to comply with the Vibes Acceptable Use Policy in all respects. vibes.com
  2. In addition, you shall not:
    • Use RCS Studio for spam, abusive messaging, defamation, hate speech, misleading or fraudulent content, or content violating laws or carrier rules.
    • Upload or transmit viruses, malware, or any harmful code.
    • Bypass or attempt to circumvent security or access controls.
    • Reverse engineer, decompile, or disassemble the Service (except as permitted by law).
    • Use RCS Studio to violate or encourage violation of any third-party rights.
    • Use the Service in a way that causes excessive strain or interferes with others' use.

5. Fees & Payment

  1. If there is a fee-based plan or tier for RCS Studio, the applicable fees, billing cycles, and payment terms will be set forth in an ordering document or separate agreement.
  2. You shall pay all applicable fees in a timely manner. Late payments may incur interest or suspension of Service access.
  3. All fees are non-refundable unless explicitly stated otherwise.

6. Term & Termination

  1. These Terms begin on the date you first use RCS Studio and continue until terminated.
  2. Either party may terminate by giving written notice under a separate agreement.
  3. Vibes may suspend or terminate your use if you violate these Terms, the Acceptable Use Policy, or applicable law.
  4. Upon termination, all licenses and rights granted to you cease, and Vibes may delete or archive your content (subject to its retention policies).
  5. Sections that by their nature survive termination (e.g., indemnification, limitation of liability) will continue.

7. Confidentiality & Data Privacy

  1. Each party shall keep the other party's confidential information private and secure.
  2. Vibes' handling of personal data shall comply with the Vibes Privacy Policy (or, where applicable, a Data Processing Addendum).
  3. You agree to provide accurate information about your users, privacy notices, and to obtain any necessary consents in using RCS Studio with end users.

8. Warranties & Disclaimers

  1. Vibes warrants it will provide the Service in a professional manner consistent with industry standards.
  2. EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE (INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UPTIME).
  3. Vibes does not warrant that the Service will be error-free or uninterrupted, or that all defects will be corrected.

9. Limitation of Liability

  1. To the maximum extent permitted by law, Vibes' total liability for all claims arising out of or relating to the Service or these Terms is limited to the amount you have paid Vibes (if any) in the prior 12 months.
  2. In no event shall Vibes be liable for indirect, incidental, special, punitive, or consequential damages (e.g., lost profits, loss of data, business interruption), even if advised of the possibility.
  3. These limitations apply regardless of the form of action (contract, tort, negligence, strict liability, etc.).

10. Indemnification

You agree to defend, indemnify, and hold harmless Vibes, its affiliates, and their officers, employees, and agents from and against any and all third-party claims, liabilities, losses, and expenses (including reasonable attorneys' fees) arising from your use of RCS Studio, your content, or your breach of these Terms (including Acceptable Use Policy violations).

11. Modifications & Updates

Vibes may modify these Terms from time to time. Substantive changes will be communicated (for example, via email or posting on the website). Continued use of RCS Studio after changes constitutes acceptance.

12. Governing Law & Disputes

These Terms are governed by the laws of the state agreed in your agreement with Vibes (or if none, [specify state, e.g., Illinois or where Vibes is incorporated]). Any disputes shall be resolved in the courts located in that jurisdiction (or via arbitration if agreed).

13. Miscellaneous

  1. If any provision is held invalid, the rest remain in effect.
  2. You may not assign these Terms without Vibes' written consent.
  3. These Terms, together with incorporated documents (Privacy Policy, Acceptable Use Policy, ordering documents), constitute the entire agreement regarding RCS Studio.
